Governance

Who decides, and how.

This page is written for anyone assessing Bucardo Zúñiga, or one of its companies, as a counterparty. It describes the structure as it is today. What is not published here is available to regulated counterparties in due diligence.

2. Structure

Bucardo Zúñiga is the company through which interests in the group companies are held. Each company is a separate legal entity, with its own management, its own licences where applicable, its own assets and its own obligations towards third parties.

3. Holding company and companies: who does what

4. Decision-making

Bucardo Zúñiga is a company with two partners, Wilber Bucardo González and Carlos Zúñiga Rebolledo.

Ownership decisions at the holding company — allocating, withdrawing or reallocating capital; taking on or disposing of a holding — are currently taken by the partners, as set out in the by-laws.

The holding company has no board or independent directors. We say so, so that no one assumes otherwise.

Partners' practices:

  1. 1

Every ownership decision is documented in writing, with its rationale and date.

  2. 2

Before a material decision in a jurisdiction, local legal and regulatory advice is obtained.

  3. 3

Transactions between group companies, or with persons related to either partner, are documented and carried out on arm's-length terms.

  4. 4

Each company keeps its own management, and the partners do not replace its governing bodies.

  5. 5

Neither partner receives or handles reports made through the ethics channel.

  6. 6

The Owner's principles guide these decisions and are published with version and date.

If the holding company appoints independent directors or advisers, they will be listed here with name, role and date.

5. Group policies

Each policy is published as a PDF with version and approval date. If a document does not exist or has not been approved, it is not listed.

Group policies will be published here once approved.

6. Counterparties and sanctions

Group companies screen their commercial counterparties before and throughout each relationship, including against applicable international sanctions lists.
